Welcome to Stella Maris Services. These Terms and Conditions ("Terms") govern your use of our website and our video digitization services. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Stella Maris Services ("we," "us," or "our"). We may update these Terms at any time, and we will notify you of changes by posting the updated Terms on our website. Your continued use of our services after any changes constitutes acceptance of those changes.
2. Description of Services
Stella Maris Services provides affordable video digitization services, converting analog videos (e.g., VHS, film) into digital formats. We offer two options:
À La Carte: For 10 or fewer videos, charged per video.
Subscription Plan: For 11 or more videos, a six-month subscription with monthly flat fees based on tiers determined by the total number of videos.
We may expand our offerings in the future, but currently, our services are limited to video digitization.
3. User Obligations
You must be at least 18 years old or have legal capacity to enter into these Terms.
You agree to provide accurate, complete, and current information when placing orders or signing up for our newsletter.
You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.
You agree to comply with all applicable laws and regulations when using our services.
4. Prohibited Content and Activities
We strictly prohibit the submission of certain materials for digitization. By using our services, you represent and warrant that your videos do not contain any of the following:
Pornography or Inappropriate Intimacy: Any pornographic content or home videos depicting any type of inappropriate intimacy, sexual activity, or explicit nudity.
Child Pornography: Any material involving minors (under 18 years of age) in sexual or exploitative contexts, including child sexual abuse material.
Illegal Acts: Any content depicting or promoting illegal activities, violence, hate speech, terrorism, or other unlawful conduct.
Copyrighted Material: Any videos or content that you do not own or for which you do not have explicit permission from the copyright holder to digitize. This includes commercially produced films, TV shows, music videos, or other protected works without proper authorization.
If you submit prohibited content, we reserve the right to refuse service, terminate your order, and retain any fees paid. In the event we come into possession of child pornography, material depicting illegal acts, or other unlawful content, we will immediately report the material and your customer information (including name, contact details, and shipping address) to local, state, and federal authorities, as required by law. We cooperate fully with law enforcement investigations.
5. Ordering and Payment
Orders are subject to acceptance by us. We may refuse any order at our discretion.
Payments are processed through secure third-party providers. You agree to pay all applicable fees, including any taxes or shipping costs.
For subscription plans, payments are charged monthly over six months. Early cancellation may result in prorated fees or loss of access to digitized files until full payment.
All sales are final, but we offer a satisfaction guarantee: If you are not satisfied with the digitization quality, contact us within 30 days for review and potential reprocessing.
6. Shipping and Risk of Loss
You are responsible for shipping your physical media to us. We recommend using tracked and insured shipping.
Risk of loss or damage to your media passes to us upon receipt and returns to you upon shipment back to you.
We are not liable for loss or damage during transit unless caused by our negligence.
Hold Harmless for Fragile Media: Due to the age and fragile nature of some analog media (e.g., VHS tapes, film), there is an inherent risk of damage or degradation during the digitization process, even with reasonable care. By submitting your media, you acknowledge this risk and agree to hold Stella Maris Services harmless for any damage, deterioration, or loss of your media that may occur during processing, provided we exercise reasonable care. We will notify you promptly if any issues arise with your media and work with you to address them, but we are not liable for the sentimental or monetary value of damaged media.
7. Intellectual Property
You retain all rights to your original content. By submitting videos, you grant us a limited, non-exclusive license to digitize and process them solely for providing our services.
Our website content, logos, and materials are owned by us and protected by intellectual property laws. You may not reproduce, distribute, or use them without our written permission.
8. Warranties and Disclaimers
We warrant that our services will be performed with reasonable care and skill.
EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not guarantee that digitized files will be error-free or compatible with all devices.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from our services, even if advised of the possibility.
Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
We are not liable for any loss of data, memories, or sentimental value associated with your media.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your breach of these Terms, including submission of prohibited content or infringement of third-party rights.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Larimer County.
12. Miscellaneous
If any provision of these Terms is held invalid, the remainder shall remain in effect.
These Terms, along with our Privacy Policy, constitute the entire agreement between you and us.
We may assign these Terms without notice. You may not assign without our consent.
